          Book Description

Corporate governance, namely the relationship between the ownership and control of firms, takes on new dimensions in the case of international joint ventures operating in the special context of China. The present study contributes a new examination of this relationship firstly through its conceptual refinement, and secondly through original empirical research. It develops the concept of ownership as suited to joint venture, in which account is taken of non-capital resourcing by foreign and Chinese partners.

            Book Description

Drawing upon case studies of firms in the steel industry, authors show that companies competing internationally can pool their strengths to offset their individual weaknesses, enabling them to build economically successful entities more easily than if each company tried to go it alone in competition with rivals. In doing so they show how the world steel industry emerged into a group of international joint ventures and how in each of these transnational marriages the whole became greater than the sum of its parts. Among the authors' main points are: cultural conflicts are minimized by economic success but magnified by failure; expertise and commitment can overcome national differences, and even failing international joint ventures can be rehabilitated. Important reading for professionals in all areas of international business and for their colleagues in the academic community. Included in each case study is a history of the firms and the emerging joint venture. Authors described the condition of facilities, the rehabilitation and construction of new facilities, the financial relationships between firms and the sources of funding, and their corporate structures. Cultural differences between firms and their impact on the success of the relationship are examined closely, with particular emphasis on personnel selection, training supervision, labor relations, retention and promotion policies and policies on tenure and layoff. Authors look at labor productivity and the use of participative management and other team approaches, relating them to such measurable variables as product quality, corporate profitability, and indeed the ultimate survival of each newly created firm. From there the authors show how the experiences of the steel industry and the lessons learned from its transnational alliances can be applied to other industries and to their own joint ventures.

              Book Description

"If a partner understands better the role alliances play in business strategy, is able to engage in a strategic conversation around the needs for and benefits derived from an alliance, and has a more sophisticated approach to partner selection, there should be fewer conflicts down the road." -from Alliance Competence
Dell Computers revolutionized the PC market when the company formed an alliance between Intel and FedEx. Through this partnership, Dell was able to mass-customize and deliver computers faster than most of its competitors.
With monthly losses around $1 million, USAir decided to join forces with British Airways. Through this alliance, USAir became a global player in the airline industry, and gave both companies the ability to save millions in annual costs by incorporating joint purchasing of services, fuel, aircraft, and more.
Strategic alliances are becoming more and more essential to the viability of a company. These alliances are pervasive throughout the corporate landscape and have a big impact on the way business is conducted across the globe. Written by strategy experts from the University of Virginia's prestigious Darden School, Alliance Competence combines the latest research and case studies to explore the key aspects necessary to develop a successful alliance.
Enhanced by a five-year study of global companies, this book offers unique insights about building the foundations of alliance competence. These competencies provide firms with a source of sustainable competitive advantage that will help them compete more successfully in global markets. Through actual "war stories" the problems and challenges that alliances tend to face are revealed, as well as concrete suggestions for managing through the evolutionary cycle.
After examining all the research available, the authors introduce a process they've developed called The No Blame Review? (NBR). This collaborative, nonjudgmental process helps alliances constructively confront times when the alliance seems off track. The NBR creates an objective, nonthreatening, and non-value-laden opportunity for alliance managers and strategic sponsors on both sides to raise, investigate, and review serious issues. It also allows partners to check the alliance's vital signs and to make a determination that all systems are in alignment. This process provides the most positive approach to conflict resolution.
The insight, real-world examples, and research featured in Alliance Competence will give you the tools and diagnostics necessary for locating potential allies and creating a successful alliance.
"A thoughtful, experience-based exploration of the subtleties and nuances that must be addressed when entering into complex alliance relationships. Required reading!" -Lawrence M. Small, President and COO, Fannie Mae
"From global service enterprises to e-business start-ups, firms in the future will win or lose by how well they manage their alliance strategies. This book is a gold mine of valuable perspectives, useful advice, and practical checklists that will help you tilt the game in your favor. Read it and, more importantly, use it to develop your own alliance competence." -Benjamin Gomes-Casseres, Director, MBA Program, Brandeis University and author,

              Customer Reviews:

              4 out of 5 stars 360 degree perspective.......2001-11-23

'Alliance Competence' provides a 360 degree perspective on business alliance. It captures both the difficulties & opportunities involved in developing business alliance. It also outlines the resources & skills needed. The values of business alliance are also incorporated into the competitive advantage framework. The book is filled with detail to 'walk the talk', but the content tend to be ocasionally repetitive.

Increased access to information generated by international governmental organizations (IGOs) and nongovernmental organizations (NGOs) and the explosive growth in information technology lead to challenges in the way this information is disseminated, processed, organized, and used. This companion volume to Hajnal's previous work, International Information, bridges the divide between traditional and new media information emanating from IGOs and NGOs. An invaluable resource for researchers, scholars, students, government officials, media personnel, and information professionals.

                  Book Description

Buying land to conserve it is not a recent phenomenon. Buying Nature chronicles the evolution of land acquisition as a conservation strategy in the United States since the late 1700s. It goes beyond the usual focus on conservation successes to provide a critical assessment of both public and private land acquisition efforts.

The book shows that for more than 200 years, both private purchasers -- such as the Nature Conservancy and the Trust for Public Land -- and governmental agencies have acquired land for conservation. It documents trends of growing complexity in transactions and a blurring of public and private roles. The preservation of Mount Vernon and its grounds, for example, began with a private group -- the Mount Vernon Ladies Association of the Union -- and continues today with a mosaic of private, state, and federal actors. The current emphasis on private land trust acquisitions, the authors argue, may undercut other effective governmental efforts to preserve the environment and may not be the best way to meet conservation goals.

Buying Nature emphasizes the accountability issues that arise when the line between public and private efforts is indistinct. The authors also pay unique attention to how federal land agencies' individual histories shape their participation in modern land acquisition transactions. An unusual mix of scholarship, the book combines political, legal and constitutional, and economic history with rich case studies of land conservation and quantitative analyses of acquisitions over time to provide a new and distinctive perspective on enduring questions of public policy and environmental protection.

                    Book Description

Culled from international experts writing for the Harvard Business Review and the McKinsey Quarterly, this book brings together the current thinking on cross-border alliances and acquisitions and their impact on global collaboration. A strategic and operational guide, it shows you the ``ropes'' when it comes to financial, legal and accounting issues in cross-border cooperation. Based on hundreds of case studies worldwide, this work gives you the results of a year-long study of current alliances that have been successful and shows how cross-border strategy approaches must be fine-tuned to meet the unique situations particular to geographic regions.

                      Book Description

Corporate Spin-Off processes are very interesting phenomena for management theory and practice. In theory, Corporate Spin-Offs are both a driver and a result of organisational change, offering the possibility to investigate an area where companies are genuinely sharing experience and best practice. In practice, Corporate Spin-Off processes are frequent and highly successful, but not as well-regarded as Merger and Acquisition strategies and less understood by the decision-makers.

Success Factors of Corporate Spin-Offs was designed to meet these demands by analysing the success factors of Corporate Spin-Offs, their relative contribution to the process and the role of the different actors involved. Based on an extensive literature review and a new Spin-Off typology, a broad range of success factors and success dimensions is proposed. Using a combination of multivariate models, the responses from 211 European companies to a questionnaire are analysed and typologies derived.

3 out of 5 stars Good Book but no answers to Problems.......2004-01-07

This is a well laid out book, with very good examples and problems. My reason for giving it a 3 star rating is the absence of answers to numerical problems. I had purchased this book as a self help improvement process in the Capital Budgeting process. But if there are no answers to the problems, than a person does not know how effective was the learning.

The book is organized well, and has good examples and explainations.
