Nice Guide for Beginners.......2007-06-16
The author writes a nice overview of the entrepreneurial process. It's basically for novices but it does a good job for this audience. The only problem I have with this book is that it is too basic and is therefore non-unique because it is so low-level. Regardless, I must say that for the right audience, it does a fine job over giving the big picture.
If you are advanced or aspire to become advanced, I would recommend "The Startup Company Bible for Entrepreneurs" but only for high-tech entrepreneurs. Even this author has recommended it.

This is a delightful little book that contains a wealth of useful and helpful information and ideas on starting a small business and ensuring that it is viable and succesful. The book is well written and easy to follow and interesting to read.
This is a must read for entrepreneurs, particularly budding ones as the information the book provides is very practical and can help you avoid making costly errors. The book covers a wide range of topics including the start-up process, marketing the business on a small budget, cash-flow forecasting, among other things.
The book is an excellent companion for the entrepreneur that is well worth having.

This book does a terrific job of presenting some of the most important issues entrepreneurs face when embarking on new ventures, touching on topics such as the business plan, funding, team building, and cash flows. Using simple, yet stunningly accurate models of the entrepreneurial process, Steven Gold distills complex subjects into simple, practical, take-away messages. The classification of entrepreneurial personalities (professionals, pragmatists, and inventors) is something I think we can all relate to. I find the metaphor which compares building a new company to making "stone soup" equally compelling. There are countless books out there for budding entrepreneurs, but this one is no fluff. It gets right down to the nuts and bolts so you can concentrate on your business.

Very useful book for those who know little about the topic. Breaks down information well and will get you up to speed prior to consulting someone with legal expertise (I recommend).

Not comprehensive.......2006-06-28
I purchased this book to help me in the incorporporation process of a C-corp, and must say that while it does provide a lot of information, it's far from being sufficient in taking you step by step through the process.
Just when you think you'll be able to pull this off with his guidance alone, Finck will tell you to "get an attorney experienced in security matters", rather then going deeper into securities laws, or at least mentioning what Regulation D, Rule 504 is. (Not that it's his fault, but after meeting with 5 business lawyers that a small business could afford, the advice proved hard to follow as well!)
Truth is, the process itself is more complicated than can be covered in just 126 pages. The rest of the book is allocated to forms, at least one of which has a mistake in it. Finally, I wouldn't call the forms CD complete without the pages of a Corporate Kit. How hard would it be to include a stock ledger?
Does What an Attorney Does For LOTS Less Money.......2005-08-19
If you go to an attorney to get him to set up a corporation, he will ask you a bunch of questions, write down the answers and get his secretary or paralegal to type these answers into their standard corporation form on their word processor. She will then press the print button and you get billed for a thousand dollars or so.
Kevin Finck is a San Francisco attorney practicing law in California. He decided to take his standard corporate form and put it out in the form of a book. In the book he will ask you a bunch of questions, taking the time to point out the alternatives (that a lawer probably doesn't do unless asked. You then take his standard corporation form (supplied on a CD) and fill in the answers. Files these with the appropriate offices and you have a corporation for only the filing fees the state charges. The forms used here have been used thousands of time to form California corporations. This is a new book (May 2005), it reflects the latest changes in California law. New corporations rarely have any excess money. Doing this work yourself will literally save the corporation hundreds of dollars that your organization probably doesn't have.
Even if you prefer to use an attorney, going through this book, filling out the forms, and then simply asking him to review the forms will save you a lot of money.

A wonderful book that will help you considerably in choosing an entity for your new business........2006-10-22
This is a wonderful book for wanta-be entrepreneurs and small business owners to read and study. It is very well organized and written, and I know of no other publication available right now that covers the same material in as much depth. The author is right on the mark when she says an entrepreneur needs to understand "choice of legal entity" when starting a business.
Although this book is mostly about choice of legal entity, it is also about starting and running a small business. The author discusses the importance of business plans and some of the other considerations someone starting a small business must think about. She tells us where to get help writing business plans, and she also provides some Web site URLs that are great resources on the subject.
The book is divided into six parts:
1. How to Get Started in Business
2. Sole Proprietorships
3. Partnerships
4. Corporations
5. Limited Liability Companies
6. Evaluating Your Options
I particularly enjoyed the Introduction, Part 1 and Part 6. I agreed with much of what was said in Part 1, but I thought the author went a little overboard in recommending that an entrepreneur hire accountants and lawyers to do as much work as she suggested. My take on the matter is that an entrepreneur needs to understand and know a lot of what both accountants and lawyers can do for them. But accountants and lawyers are notorious for not educating their clients and just doing the work for a fee. An entrepreneur should learn about bookkeeping, taxes, and how to form a corporation or LLC. And after doing that they can then go to an accountant or attorney to have them do the work (or they can do the work themselves or have someone in-house do it for them).
All in all, this is a wonderful book. It would be a bit more credible if an attorney had written it instead of a CPA, but the author has done a marvelous job in putting this book together considering her background. I think it is fair for me to say that since I am both an attorney and a CPA. I have recommended this book to many of my SCORE clients who are trying to choose an entity form for their new businesses.
Consider the following comments I have related to this book:
Today I generally recommend an entrepreneur consider forming either an LLC or a C Corporation. Both will allow the entrepreneur to limit his or her exposure to liability. The LLC might cost a little more to form since any multi-member LLC needs to have an Operating Agreement, but it is cheaper to operate after forming it. An LLC can be taxed as a sole proprietorship (single member), a partnership (multi-member), or as a C Corporation. From that standpoint it is very flexible. The downside to an LLC is that it's not so easy to bring in investors down the road and to take on and get rid of members.
If you have plans for your small business to grow quickly or you want to sell it in 5 years or less, then choosing a C Corporation for your new business' choice of entity is probably the way to go. You will have additional paperwork and corporate formalities to deal with if you form a C Corporation, but you will need all of that structure in place if you plan to sell in 5 years. And of course, transferring title by selling shares of stock is really easy.
It's nice to know about sole proprietorships, partnerships, and S Corporations - but don't bother forming any of them for your new business. Choosing an LLC or a C Corporation will in almost every situation be a better path to follow.
At page 162 the author states: "Professional corporations, commonly referred to as personal service corporations (PSCs), can be created only by members of certain professions." It is my understanding that professional corporations are not commonly referred to as PSCs. PSC is an Internal Revenue Code term used to single out ANY corporation for special tax treatment that tries to minimize taxes due by tinkering with the graduated tax system in place in the United States. A PSC might be a professional corporation, but it does not have to be. Professional corporations (PCs), on the other hand, are merely corporations owned by licensed professionals who are not allowed to limit their malpractice exposure by incorporating. Think of PCs as a normal corporation except liability related to the rending of professional services is not limited.

Woefully out of date.......2006-10-06
I ordered this book after having used the same series to form an LLC in Pennsylvania. Having moved to Colorado I thought I'd try again. This book is incredibly out of date. First of all, the phone number you call to get a copy of the forms on disk doesn't work. The website has changed too. And the info in the book is out of date. They don't even give you the website of the secretary of state to file your forms for $25. He tells you to mail them in with a $50 check. In fact, the paper filing fee is now $125. Makes me wonder what else in the book is not accurate.
Don't waste your money.

Outstanding, explains the basics, then drill's down.......1998-11-05
Dean is a great writer, his background positions him well for this book. He is a family man doing what many need to do, start a small business and keep food on the table and insurance laying in wait. This is the perfect guide for starting you small business. The forms are there, the bylaws are there, explaining the stock even helped me understand some things about corporate law I didn't know about. Dean makes the law real and easy to understand. Thanks for wading through the mumbo-jumbo and getting the real nuggets, we will all flourish thanks to your work. Be advised Dean is not advising you legally, but identifying steps any one would need to take to start there small business. In some cases you still may need a lawyer, but this book can help you identify the key areas you need check. It allows you to talk about the issues with your CPA and Attorney, overall it's GREAT!!!

Provides forms to copy and use or a way to get them on disk. Would be better to just include a CD in the book jacket. Probably set up to get you mailing address for future spam.

Easy To Follow Steps.......2001-06-29
The book was very good in terms of a high level overview of the steps necessary to setup a business in Arizona. The forms in the book are slightly outdated but the information to put on the new forms is still correct. I would definatly recommend reading this book instead of paying an outside service to fill out the paperwork.
