There is ample material on unincorporated forms of doing business, considerable coverage of federal securities law issues traditionally taught in basic corporations classes, and specialized treatment of closely held corporations. Coverage also includes the role of corporate lawyers, comprehensive treatment of mergers and acquisitions, and an introduction to corporate finance. The casebook includes numerous references to the Model Business Corporation Act and the Delaware corporate law.

              I am very close to selecting this text for a seven unit course. The abridged version is not the one I need. It is extremely difficult to tell that the book being offered here is not the standard 1300+ page edition, and worse, the price seems to be for the more comprehensive version. I need to make sure that my students do not bring the abridged version to class. Further, the current edition is the Second Edition, and things have changed.

              Hey, beware if you buy this that you will spend countless hours in the library copying all the missing cases! The seller says its obvious that they are selling the abridged version but its not---and they will not issue a refund!

Included is treatment of corporate and unincorporated business forms, major tax aspects, securities regulation, antitrust aspects, Uniform Commercial Code and other relevant uniform acts, national securities exchange requirements, and bankruptcy and corporate reorganizations. Since its coverage encompasses and expands upon the curricular descriptions of most law school corporations courses, it should provide insights into many related areas.

              This third edition follows the traditional trilevel Hornbook approach: (1) The overview in the bold face summaries at the beginning of each of the 389 sections; (2) The adequate coverage of the laws in the 1171 pages of text; and (3) The guides to further information and research in the 5,769 footnotes. The table of more than 5,250 cases continues to be keyed to commentaries in legal periodicals.

              This third edition is designed to provide a comprehensive one-volume treatment of corporation laws, with special emphasis on developments during the past decade. It updates information on unincorporated business enterprises, especially under the 1976 Revised Uniform Limited Partnership Act, expands coverage of California law equaling it with coverage of the various current and earlier versions of the Model Business Corporation Act, Delaware, and New York; and treats the current propositions for corporate governance, burden of proof, right to jury trial, collateral estoppel, "independent" litigation committee and oversight committees of the board of directors, "D & O liability insurance", and federal securities, tax, and bankruptcy and reorganization provisions.

              Harry Henn's original (1970) hornbook on The Law of Corporations, and its updates with John Alexander, is a concise general review of corporate law. It has good citations to the fundamental cases, and over the years has been updated with new cites. However, with the pace of recent corporate changes,the "newest" edition of 1996 does not provide the most current review and the reader is relegated to other corporate resources. Henn/Alexander & West Publishing should form a dedicated consortium to produce an annual supplement & compilation of the prior year's events.

              It has always been the case that those with excess power are likely to overuse it, at the expense of those who have little power. In the corporate world, the hand of companies can get overbearing when there's a lot at stake. Unions have always experienced tough tactics. Legislatures are wooed with money, contributions, influence and political pressure. Whistle blowers often find themselves harassed, threatened, and intimidated. All of these excesses are documented with recent examples in this thoughtful book.

              If you love your relationship with your HMO, the way your credit card company charges you, what your credit report has to say, and how your privacy is protected, then you have no need for this book. If, on the other hand, you are concerned about scandals like Enron, WorldCom, and have problems with corporate marketing to children at school, your HMO, credit card companies or credit reports, you need to read this book.

              Mr. Court makes a persuasive case for corporations having gained too much power, and that the time has come to redress that balance in favor of individual citizens. He also provides lots of advice about what you can do to make matters better . . . both for yourself and others. The book's main flaw is that the section on how to fix matters is the briefest.

              I hope that during the elections in 2004 that these issues will receive the attention they deserve.

              After you finish this excellent book, find something to do to exercise your rights from the lists that begin in Part Three.

              I heard Mr. Court speak at a breakfast in San Francisco last week and purchased a copy of the book. Excellent expose of how corporations are curtailing our freedom and ending any idea of privacy. A lot of interesting things to think about.
