Taken for a Ride: How Daimler-Benz Drove Off With Chrysler

It all started with a misunderstanding. Kirk Kerkorian, the Las Vegas wheeler-dealer, thought Chrysler's management would back him up if he tried to take the company private. Chrysler's management thought they'd made it clear they had no interest in such a deal. As the two sides faced off--Kerkorian and legendary Chrysler chairman Lee Iacocca on one side, current Chrysler boss Bob Eaton and his top executives on the other--Mercedes-Benz CEO Helmut Werner stepped in. The result is the company now known as DaimlerChrysler. But Vlasic and Stertz make clear no one really knows the result of the deal. It's far too early to tell if blending the manufacturer of sleek German luxury sedans with the Detroit-based progenitor of the minivan will succeed in the global marketplace. Instead, they show in riveting detail how the deal came to be, and the immediate aftermath. They give us private moments with the major players and show us the multilayered considerations that crop up when two gigantic companies merge. Another book will have to judge the ultimate success of the merger, but the immediate results aren't exactly promising. By late 1999, a share of the original Chrysler was worth a few pennies less than it had been before the merger was announced, and only about a dollar more than before Kerkorian made his move back in April 1995. --Lou SchulerBook Description
Here is the book that exposed the Daimler-Chrysler "merger of equals" as a bold German takeover of an industrial icon. Taken for a Ride reveals the shock waves felt around the world when Daimler-Benz bought Chrysler for $36 billion in 1998. In a gripping narrative, Bill Vlasic and Bradley A. Stertz go behind the scenes of the defining corporate drama of the decade -- and in a new epilogue chart its chaotic aftermath.

A Comparison of the Trade Union Merger Process in Britain and Germany Joining Forces? (Routledge Research in Employment Relations)
Jer Waddington Manufacturer: Routledge ProductGroup: Book Binding: Hardcover ASIN: 0415353785 |
Book Description
Trade unions in Europe are currently facing a series of challenges that stem from changes to regulatory and production regimes implemented by the state and employers, in order to compete in an increasingly internationalized economy. In response to these challenges trade union movements have been dramatically restructuring; long-standing principles of organization have been jettisoned in an attempt to develop new structures. Central to this process of structural adaptation are the mergers of trade unions.
This book focuses on the merger process in Britain and Germany and reviews the wider implications of these developments particularly for North America. As well as addressing the reasons for mergers, the book also examines the process whereby mergers are concluded and analyzes the costs and benefits of the post-merger organization. Drawing on interviews conducted with senior policy-makers engaged in merger processes, A Comparison of the Trade Union Merger Process in Britain and Germany explores the extent of internal union reform brought about by the merger process and also identifies the implications of this reform for trade unions worldwide.

Corporate Acquisitions and Mergers in Germany
Dieter Beinert Manufacturer: Springer ProductGroup: Book Binding: Paperback ASIN: 9041198164 |
Book Description
The mergers and acquisitions market in Germany is the second largest in the European Union (EU). Economic recovery has revitalised mergers and acquisitions activity. The number of transactions increases each year. German companies have become attractive targets. Foreign investors outside the EU stand to gain access to Europe's largest national market as well as to the whole of the EU market. At the same time, many German companies have acquired the financial muscle to fund their own expansions. Most business activity in Germany is through medium-sized companies, often extraordinarily profitable. Some 300,000 of them, family-run and facing problems of succession, may come up for sale by the year 2000. The German attitude towards foreign investment is liberal, setting the scene for a high level of mergers and acquisitions activity. This meticulous guide covers both the background and the details of mergers and acquisitions, including + review of the corporate environment and regulatory framework; + consideration of merger control and antitrust provisions in the EU context; + examination of the practicalities of takeover, including methods for financing and the necessary legal steps; + explanation of German labour laws (the German workforce plays an active role in business organisation); and + discussion of acquisitions in the former East Germany, now covered by West German law. This is a revised edition of a work that gained wide respect in its first edition. Its clear explanations and accessible approach make it an essential reference for all parties concerned with mergers and acquisitions activity in Germany or attracted by its expanding mergers and acquisitions market.

Jurgen Schrempp's DaimlerChrysler.......2000-07-10
The book is very informative but at times one feels that the continuity from one chapter to another is rather disjointed. While the book is packed with annecdotes and insights it lacks the page turning ability of the other book on DaimlerChrysler by Bill Vlasic.

UK/German Tax Treaty: A Practical Guide
Burkert Manufacturer: Kluwer Law International ProductGroup: Book Binding: Paperback ASIN: 9041101195 |
Book Description
Rather than slavishly following the order of the Treaty, this Practical Guide breaks down the type of income to be taxed into the main categories which are treated in different ways under the Treaty. The major areas covered are: pure or passive income, i.e. investment income where the recipient does not earn by the provision of goods or services; income derived from independent activities, such as trading or professional activities by individuals, partnerships and companies; and the activities of sportsmen and entertainers. The book also deals with activities in which an individual is bound more closely to a particular company employer or former employer, thus covering income from employment, directorships or pensions. Each section is cross-referenced to the relevant Treaty articles and there is a comprehensive index. Three useful appendices list the forms needed to make claims under the Treaty, and give the text of the Treaty in both English and German. Although the subject matter may initially appear technical and obscure, the book is both clearly written and sensibly structured to give the reader simple access to the most difficult topics. Audience: An invaluable reference source for tax advisers, professionals and management involved in international structures, tax planning and advice, both in Germany and the UK, and throughout the world.
