This book, one claimed by the publisher to fall into the need-to-read category rather than the nice-to-read, is aimed at giving the businessman the information he needs to know to be able to hold an intelligent conversation with a venture capitalist.

It's a pretty quick and easy read, but the businessman who has gotten his business up to the stage where outside money is needed is probably not a financial type but an engineer, or scientist or perhaps just plain businessman. This book, written from the venture capitalist standpoint, will explain to him such things as how to value a company, verious types of stock, dilution of the ownership, in short, all of the things that will need to be understood when a big time financial deal goes down.

It's not an in depth book, each of these subjects can and has several books describing them 'in depth.' Instead it is a small book that gives you what you need to know quickly.

This author definitely knows his stuff - but even better is author's new product called Negotiating Term Sheets and Valuations in Venture Capital Deals (ISBN 1597010987). It is a 100 minute DVD that has a lot of different material in it that is critical for doing venture capital deals. It also covers specific negotiation strategies and roles and motivations for each key deal participant - which is not covered in this book or the authors other book (Term Sheets & Valuations).

After enjoying his first book, Term Sheets and Valuations, I was looking forward to this one. I regret to say that I found it a big waste of time and a bigger waste of money.

It appears as if the marketing of the book by the pblisher sought to take advantage of his first book by raising the price by 500%, giving the impression that this book was better or more comprehensive. However, nothing could be further from the truth.

'Deal Terms' is a solid reference for entrepreneurs with 'need-to-read' (as opposed to 'nice-to-read') information regarding venture financing deals. I find Wilmerding's interviews with various relevant players (e.g. legal counsellor, venture capitalist, entrepreneur) to be a good differentiator of the book; the quick analysis of actual term sheet is also pragmatic. The 'Valuation' section is relatively generic & is the weaker part of the book.

While this book was written at the height of the Internet boom and contains nothing but some intimations of the subsequent crash (some of the VCs stated that they suspected returns would turn negative sometime in the near term), it is a fascinating capturing of the history of the venture capital industry in the words of those that built it. It is not a book on how to become a VC or how to submit your b-plan in a way to attract VC money. If you want books on getting investment money, I recommend - The Venture Capital Cycle - by Paul Gompers or for angel money - Angel Investing - by Mark Van Osnabrugge.

The book begins with a very short summary of the growth of the VC industry after WWII and then presents the VCs in five groups. It begins with the "Fast Forward" or the hot Internet and computer based VCs. Then come the "Beginnings" - the group after WWII that built the industry. A contrast is made with the next two groups, the East Coast versus the West Coast VCs. Finally, a group is presented in Visions.

Each of the VCs is presented with a little drawing in the WSJ style. I think this book is worthwhile just to get to know some of the big names, where they work - or used to work (there have been some changes since 2000) - and what projects these firms and people did. It can help in building professional associations let alone dinner conversation.

Is it a must read? I don't think so. However, if you are interested in the venture capital industry I think this would be a very good way to get some understanding of the terrain the industry has occupied and who some of the movers and shakers are (and were).

5 out of 5 stars AN INVALUABLE PEEP INTO THE WORLD OF VENTURE CAPITAL.......2003-04-19

Many of the yesteryear superstars from the boom hitech sector may have unceremoniously gone belly up, and VC is not exactly as "hot" as it was at the turn of the century, but turns out that circling overhead the dot-com carnage was an enthusiastic Gupta scribbling detailed notes of what was going on in the industry. He rounded up a flock of 35 leading venture cap investors, from early pioneers such as Eugene Kleiner and Arthur Rock to current industry stars Geoff Yang and John Doerr. Had them reveal a great deal of gripping skinny on their ventures, solid facts from actual deals they'd worked on. Organized the stash of all this collective wisdom into a neat little bound volume -- and voila - we have a ripper of a book!

Organized into five parts (Fast Forward, Beginnings, West Coast, East Coast and Visions), the book examines the industry's humble beginnings to its extraordinary present (ok, very very recent past and hopefully a recent future). For a non-US reader such as myself, it also contains a priceless critique on the differences between West Coast and East Coast investing, which is unique because you'll recognize that a relatively nascent industry such as VC can sport widely varying investment philosophies as well. As investment spreads out to Europe, Australia and China, this becomes even more useful.

The book packs info about the hottest deals we had heard about - from Yahoo to www.Amazon.com - which makes for a gripping read in of itself. But beyond that, there are invaluable insights and discussions at length about how the VCs set up their partnerships and hand pick top management teams. Much better than reading a "VC 101" text book because it presents a hands-on glimpse at the industry's past and future from the veterans' point of view.

Consider this book to be a detailed case study introduction to some of the more successful companies, from some of the more committed (and recognized) minds. A highly recommended possession for your libraries -- if not as investment advice, at least as an insider guide to the fascinating industry of venture capital.

I opened this book with anticipation that I would be presented with an insightful examination of how the greats of the venture capital world worked with thier investments. What I found was a one-sided exploration about why these folks were great but not any of the grit that they must have faced to become the success that they are.

As a VC myself, I found this book to be very inspirational. What struck me as a common theme among the great VCs was that there was a sense of vision and purpose. Sure everyone wanted to make a lot of money but you get the feeling all of these guys cared about creating a frontier and exploring it. With the bursting of the internet bubble I think people need to get back to that. Unfortunately, VCs are too busy raiding distressed companies to really think about creating the next tech frontier. But the next great VC will be the one that follows the instincts laid out in this book. Hopefully it will be me!

I was disappointed with this book. Rather than a behind the scenes look into the strategy and excitement of today's dealmaking, it is a look into the past (poorly edited)of several VCs really not relating to their current successes. Better historical perspective in "The Big Deal" by Wasserstein and better strategy in "Winning at M&A" by Clemente and Greenspan.

Book reads like a low end thesis paper that took 25 minutes to read, saying nothing more than pick an Integration leader, plan, and consider culture in integration. "5C Integration Model" and 'framework' go no further than what is covered in the 2 page Intro section, and although book is derived from a thesis work there is not a single case study or real life M&A corporate experience included.

    We recommend this book to anyone who negotiates regularly and wants to get better at it. Actually, authors Michael Benoliel and Linda Cashdan have written such a clear book that just about anyone could read and enjoy it. They interviewed a host of well-known expert negotiators, such as former Israeli Prime Minister Shimon Peres, former U.S. Secretary of State James A. Baker III, U.S. Senator Bob Dole and even sports agent Jeff Moorad, for their advice and perspectives on negotiation. This is intrinsically interesting reading. Novice negotiators should take special heed since most negotiation is deeply experiential and, as the authors note, most new negotiators don't predict its outcome correctly. People tend to overestimate how good they're going to be at negotiating, and underestimate how challenging it will be. Let one deal go bad or even allow one negotiation to stall for days, and you'll be ripe for the solid advice this fine book provides. It is realistic, applicable and challenging.

    What is it about Florida? It's a magnet for "unusual" characters and this book is full of them. The Kirkus review in the editorial section does a wonderful job of telling the key plot points so I won't be redundant.

    I liked a number of things about this book. Johnny/Jack Deal is a very appealing protagonist. While I will always have a bit of a crush on Travis McGee, he isn't exactly a everyday sort of guy. Deal is very much an everyman caught in a vortex of events that are beyond his control or understanding. He responds with a nice mix of anger, humor and action. The supporting cast is also well done - particularly Leon, the heavy for the bad guys. He's strickly a character out of the Hiaasen school of Florida wackos.

    I'll be reading the sequel to this book (Raw Deal) soon although I am a bit perplexed as to how Deal will continue to find himself involved in murder. My father was a contractor and the most crime he ever saw was the periodic stealing of materials from a job site. Still, if Jessica Fletcher could encounter a body a week, I'm sure Deal can too.

    The best behind-the-scenes account of the NAFTA negotiations. Cameron and Tomlin have meticulously researched and analyzed all aspects of the deal, based on interviews in all three countries. Moreover, the book is written in a readable, entertaining style. The only problem with the book - which is why I dock it one star - is that the theory looks like an add-on. It has little predictive value, despite the authors' claims, and attempts to fuse theories with sometimes conflicting assumptions. Nonetheless, the empirical work is outstanding.
