1 out of 5 stars Don't buy this book !!!.......2005-05-25

Its Crap!!! Especially the download version. You can't print it.
And you can only view it on a maximum of 2- computers.
As far as the natutre of the book is concerned, its very shallow. Over 98% of the information in this book can be obtained from websites and other sources for free.
As a student in the markets for 10 yrs, I was under the impression that this book had much more to offer. Unfortunately. this publication does not deliver the goods.

5 out of 5 stars I'm a beginner and I liked it.......2004-03-30

Futures, options, derivatives have all been subjects I was afraid of learning about. I thought they were complex and impossible to get a handle on. When I decided that this might be an investment for me- I researched and stumbled across this book.

It was clear and concise. The author emphasized in the intro that this book was supposed to be a supplement to any system I may already be trading and that it was his practical wisdom from being in the business for 10 years, both as a traded and broker.

I took his statements at face value and was not disappointed! I was delighted at the simplicity of the ideas he presented and the concept of trading with a plan really changed my thinking. I liked the book and will be checking out his other books.

1 out of 5 stars Not Worth The Paper It's Printed On.......2004-03-24

One of the thinnest publications I've ever seen. Completely useless. You could get more information from a brief web search or from the CME and CBOT. Pathetic.

5 out of 5 stars Great book...went very well with the companion books........2003-12-01

I liked all three books in the series. There is a lot of information to absorb. The first book was brief and laid a good foundation...the other books are not so brief, but filled with a lot of information.

I like the commonsense approach the author has to trading.

5 out of 5 stars Just bought the book!.......2003-11-21

I bought this book along with the companion guide and it was great. This book was small and I would have been disappointed had I not bought the companion guide too. The author was here in San Francisco doing a seminar and one of the things that he focused on was that trading was simple.

The hardest part is managing a trade and that no matter how many people say his original book is too short...everyone still keeps making the same core ten mistakes.

But I will say the companion guide to the book more than made up for it. Its almost 300 pages long and filled with the practical side of the information provided in the first book.

I am going to buy the third book in the series.

5 out of 5 stars I own Futures For Small Speculators.......2004-02-16

This is a great companion book to the original. All of the information and core concepts mentioned in the first book are actually further detailed in this one.

I can't emphasize enough how useful the three trading tools "trading plan questionnaire, trade worksheet, and trading journal" hav revolutionized the way I trade.

This book can actually stand alone from the original, but I am glad that I have all three books in the series.

    Description:
The Commodity Futures Trading Commission (CFTC)'s Commitments of Traders (COT) data are examined for crude oil, unleaded gasoline, heating oil, and natural gas futures contracts. The collection procedures for the COT data are first examined, followed by Granger causality tests to determine if relationships between trader positions and market prices exist. A positive correlation between returns and positions held by noncommercial traders, and a negative correlation between commercial positions and market returns, are found. Furthermore, positive returns result in an increase in noncommercial net positions in the following week, whereas the net long positions held by commercial hedgers decline following price increases. However, traders' net positions do not lead market returns in general.

5 out of 5 stars Professional manual for reverse mergers.......2006-12-11

Only a few years ago, it seemed that nearly every company was going public with an IPO. Now many quality companies are locked out of the IPO market, but companies have other ways to go public. One of the most popular paths is a "reverse merger." In this transaction, your private company merges into a public company (often a "shell") and controls it, giving you a public stock with which to raise capital. This may sound shady, but it's not: many well-known companies have gone public through reverse mergers, including Warren Buffett's Berkshire Hathaway, Turner Broadcasting System, Occidental Petroleum and Blockbuster Entertainment. Experienced Wall Street securities attorney David N. Feldman takes you through the reverse merger process in detail. The book is wonderfully clear and thorough, and should become the definitive textbook on reverse mergers. It is, however, a dry read. A profusion of technical rules and especially acronyms (SPAC, SOX, Form 10-B, Rule 419, Regulation A, SB-2, PIPE) make the book slightly MEGO (My Eyes Glaze Over) for the uninitiated - but then, they are not its target audience. We enthusiastically recommend this book to sophisticated investors, lawyers, accountants, investment bankers and executives who want all the details on this increasingly popular financing technique.

5 out of 5 stars This book changed my life!!!.......2006-10-10

Well, maybe it didn't exactly change my life, but it gave my law firm a new direction. My firm specializes in strategic transactions - initial public offerings, private placements, mergers & acquisitions - but we had steered clear of reverse mergers because of the uncertainty and confusion. Feldman and Dresner cleared up that confusion we now offer reverse mergers as part of our services.

This book showed the mechanics of structuring a reverse merger, how to create shell corporations and guidelines on financing. It covers due diligence, securities filings and and plenty of mistakes to avoid.

Whether you're an attorney, accountant, investment banker, business owner or private investor, this book will offer you an new strategy for growth and finance by way of reverse mergers.

    5 out of 5 stars excellent book.......2006-10-02

This is a most informative book and tells you how to do it. The concept is mysterious at first but is clearly explained in this book. It is a must for anyone considering taking his business public. I highly recomend it.

5 out of 5 stars An excellent investment if you're interested in reverse mergers.......2006-10-01

If you want to know the right way to organize and structure Reverse Mergers, this is the book to go for. It's an excellent up to date reference as well as a guidebook of do's, don'ts and "tricks of the trade"; even better, it's written so both newbies and professionals can benefit from it.

At the very minimum, Reverse Mergers will pay for itself many times over in saved legal fees; more importantly it will almost certainly save you a lot of time and may well save you from some very expensive mistakes. If you intend to do anything in this area, Mr. Feldman's book is undoubtedly the best $50 investment you can make.

    5 out of 5 stars A Layman's View.......2001-03-12

I have an interest in IPO's because I have invested in a company involved in oil and gas exploration which is planning to issue one this year. ThusI read with interest "IPO's for Everyone"and was gratified to find this book useful and informative. The subject is covered thoroughly in a manner easily understandable by a layman such as myself. The topic is treated with scientific honesty and objectivity.

5 out of 5 stars What a solid book on IPOs!.......2001-03-01

What a solid book on IPOs! I am an international investor trying to diversify my portfolio to include IPOs. Usually, I wait for analysts to come out with opinions on a new company. Now, after reading this book, I think I can do my own research using the prospectus and feel much more comfortable evaluating a company myself. I recommend this book to anyone who is interested in doing his own research. This book is easy and fun to read, and the stories about past IPOs are really interesting.

5 out of 5 stars First accessible IPO book.......2001-02-26

When the dot-com IPO phenomenon first got started I took an interest in how these companies raised money. But, I could not find a solid source to get started. There were not a lot of books on that specifically keyed in on the subject, and those that were out there were far too technical for me to understand. IPOs For Everyone is the first book that comes at IPOs from a perspective that a layman can understand. The authors do a good job peppering the book with anecdotes that illustrate what potential IPO investors should be on the look-out for. It's a highly entertaining read for novice or more seasoned investors interested in getting an insider's angle of how the IPO process works and how individuals can participate

5 out of 5 stars Great IPO info.......2001-02-21

    Book Description

The first edition of Investing in IPOs was hailed as "desperately needed", "long overdue", and packed with "crucial information in the new Internet investment era". Since then the dazzlingly rapid pace of IPOs hasn't slowed. And now that more individuals have access to IPOs -- through banks, discount brokers, and the Internet -- there is an even greater demand for information for the individual investor.

Tom Taulli's street-smart course on informed investing has now been revised and expanded. In this new edition, Taulli updates the Internet section to include cutting-edge new topics such as wireless, infrastructure, Linux, and business-to-business. He also explains some of the dangers of investing in 'Net IPOs, using recent examples such as Value America, Beyond.com, and theglobe.com.

In version 2.0, investors will find an expanded Web resources section that covers the latest and greatest of the new IPO Web sites. They'll learn important after-market trading strategies -- and how to play "after-market", "quiet period", "lock-ups", and intraday moves. Version 2.0 provides more extensive coverage of IPO mutual funds, and a new section looks at the most current developments of online distributions of IPOs. Taulli also sheds light on how firms distribute IPOs to investors -- and how would-be investors can boost their chances of getting in on hot new IPOs.

    Customer Reviews:

I got burned in the past -- especially with dot-com IPOs. But after reading Taulli's book, I realized that there are many things an individual investor can do. In fact, using Taulli's book this year, I've made money on the IPOs I participated in. Taulli makes everything very clear. What's more, he does not just focus on tech. He talks about the nuts and bolts of IPOs. He also covers such areas as biotech, retail (there is even mention of Krispy Kreme). This book is certainly highly recommended.

    5 out of 5 stars Investor's Perspective on IPOs.......2001-03-05

IPOs bring clear advantages to companies--notably, access to capital without having to make future interest payments! And IPOs also bring value to institutional investors in search of new ways to diversify their portfolios. But what advantages do IPOs bring to individual investors, who have only limited investment funds? Why should I, as an investor, buy into a company's IPO, rather than buying into a stock that has already been trading on the market? How can I tell the quality of a particular IPO offering? What brokerage houses are sources for IPO purchases? How do they compare? What about buying into IPOs through mutual funds--how does that differ from a direct IPO purchase? This book answers all these questions in plain English with plenty of solid, current detail.

Sooner or later, every investment product or strategy has its day in the sun, and these days, the investment vehicle that's getting the most attention is initial public offerings (IPOs). With prices of many new offerings more than doubling on the first day, it's no wonder small investors are trying to muscle in on the action. Tom Taulli's book Investing in IPOs is an excellent, easy-to-read guide that introduces most facets of the IPO business. An expert on the subject, Taulli writes online columns for several financial Web sites and appears regularly on CNN and CNBC. He describes many strategies for investing in IPOs, includes an examination of the mutual funds that buy them, and offers tips on how to avoid getting burned by fad offerings and shady brokers. He discusses management, balance sheets, business models, venture capitalists, and underwriters, and there's an excellent section on how to read a prospectus. As Taulli explains, "The best source of information on any IPO is its prospectus ... knowing what the risks are is important; realizing what they might mean to your investments is vital."

The Internet has changed the way IPO information and shares are distributed, making it easier for small investors to participate, and the book includes the best sources, on- and offline, for IPO intelligence and market research. As Taulli explains, IPOs are one of the best places in the financial markets to find huge gainers, but investing in IPOs is a game best played by those who understand the risks. If you're determined to get into the IPO marketplace (and can get stock), then this book is a great place start. --Scott Harrison

    Book Description

THE book for investors on IPOs--getting in on the next Yahoo! or Home Depot. How can individual investors safely take part in the tantalizing opportunities--and huge profit potential--presented by IPOs? They can learn the tools to spot the right stocks and weigh the potential risks against the rewards. In "Investing in IPOs," an astute, easy-to-understand guide, IPO expert Tom Taulli uses dozens of real examples to explain IPOs and the IPO market. He reveals the best ways to investigate before investing, shows how to read an IPO prospectus, explains how to spot the next hot-ticket stock, and includes tips on how to avoid getting burned by fad IPOs and shady brokers. What profit-minded investor doesn't wish he had been in on wildly successful IPOs such as Home Depot or Intel? (or Amazon for that matter!) Until recently, investors had to be Wall Street insiders to take part in an IPO. The Internet era has changed all that--now information and investment opportunities are available to anyone who knows where to look and how to get start. Because of the surge in entrepreneurial ventures, IPOs will; just keep coming--whether the stock market is soaring or sinking. That reality means even more choices for investors, and better chances to earn outstanding profits. This book, the first of its kind, shows investors how to take full advantage of IPO opportunities. "Investing in IPOs" features the clear, practical advice you need: The mechanics of IPOs--what to expect and how they work; IPOs in the high-tech sector, international markets, and IPO mutual funds; the best times to get into--and out of--an IPO; spotting IPOs that will be profitable for the long haul; dozens of examples of successful IPOs and why they worked.

    4 out of 5 stars A Good Read!.......2001-04-17

Investing in IPOs describes the process behind taking a private company public in the United States. The book lists the players in an initial public offering and describes the documents that must be filed with securities regulators. It also offers suggestions about what characteristics lead to successful IPOs, such as a history of profits, a strong management team and a lack of strong competition. Also noteworthy are the advance warning signs which point to losers. These signs include pending lawsuits, low-price stock and recently changed business plans. We [...] recommend this book with its exhaustive and useful look at the IPO process to investors and to companies pondering an IPO. This clearly written book includes specific examples that use real-world companies to illustrate points.

5 out of 5 stars Full of Useful Information!.......2000-04-27

Yes, this book has large print and is an easy read. Don't let that fool you; it's loaded with useful information! In very concise terms, "Investing in IPOs" quickly brought me (a beginning investor) to the point where I understand what to look for in an IPO and where to find that information.

Taulli also addresses the sad reality that most individual investors are stuck on the outside when the initial offering happens. But he offers tips to tell you the best time to jump in if you've missed the first offering.

Read this book with a highligher in hand because you will be going back to it. It's a great launching point, though not a single source for all you'll ever need to know. On the other hand, the questions I'm now looking to answer are questions I didn't even know to ask before reading this book.

    1 out of 5 stars Lacks realism.......2000-03-27

The information in this book is readily available in the educational features of E-Trade and other online investing sources. The author doesn't address the reality that Fidelity picks IPO recipients based on size and longevity of account (hence the rich get richer) and E-Trade prefers daytraders and assigns others randomly. The volume at E-Trade is so high... good luck to get any shares at all. Both require the invenstor keep the shares for a set number of days which is usually after the steller 120% rise is over. I was disappointed in the book. Not worth the money if you have taken advantage of free internet info.

4 out of 5 stars nice introductory text.......1999-10-13

This book is a good introduction to the topic of IPOs, and contains a bevy of information that will be mostly relevant for the beginning (or uninitiated) investor interested in IPOs (how's that for consonance?). I wish the book went into more detail on some of the headier subjects, esp. company analysis. Still, it's a good read.

1 out of 5 stars This book is a joke - written for a child.......1999-10-02

I feel it was useless to have so many filler pages with no information on them. It deceives the reader that there is more than there is. IPO should stand for "I Paid Out" too much for this book!

        Book Description

Google Inc. (Google) is a California based internet search engine company that was formed in 1998 by Stanford University PhD students Larry Page and Sergey Brin. On April 19, 2004 Google filed Form S-1 Registration Statement (S-1) with the U.S. Securities and Exchange Commission indicating its intent to go public by an Initial Public Offering (IPO) of its shares. In a July 27, 2004 regulatory filing with the SEC, Google announced that it planned to sell the shares using the Dutch auction method. Prior to the IPO, valuations from industry experts and Google itself suggested that the IPO would place a value on Google in a range of $8.3 billion - $57 billion. The purpose of this paper is to address the Dutch auction versus Book-building IPO methodologies, the results of the Google IPO, and the effect of the Dutch IPO process on the Google IPO. (Excerpt from paper by Tom Corr published in the book)**************

This Case Study discusses the branding impact of the Google IPO. In a longer, Article-length version of this paper which appears in the Michigan Law Review, I argue that branding is an unappreciated element of contract design. Corporate finance scholars generally assume that consumers focus on product attributes like price, quality, durability, and resale value. But consumers choose brands, not just attributes. The legal infrastructure of deals sometimes affects the brand image of the company. This Case Study explores the link between deal structure and brand image in one specific but noteworthy deal, the Google IPO. It is an extreme example of the branding impact of deal structure, but one that helpfully demonstrates the branding implications that exist, to a lesser degree, in other deals. The primary goal of structuring an IPO is to lower the cost of capital by managing the information asymmetry between the issuer and investors. From this perspective, the success of the Google deal is questionable. Few would call the deal elegant or efficient. But the auction structure allowed Google to do more than raise money. Google also reinforced its image as an innovative, egalitarian, playful, trustworthy company. (excerpt from Victor Fleischer's paper)
