This book had a lot of helpful facts about LLCs, but no guidance really in forming one, or whether you should form an LLC or corporation. The state-by-state appendix of laws and contact information hadn't been updated since 1997. The sample operating agreement was not on the disk, so you couldn't tailor it and use it for your company.

The book was decent, although a bit generic - no particular insights provided. The discussion of the terms of an LLC Operating Agreement could be a lot more detailed.

The author being a lawyer seems to give the bare minimum information. You are told what you can do, but how to do it is often left out. Numerous times in the book the author says, "for more info you should consult a lawyer."
Example: You are told how you can have single member llc's owned by one multiple member llc. Yet you are not told how you would go about preparing the arcticles of the llc to do so.
Example 2: The section on taxes for your llc is very short and leaves many questions.
P.S. I'm a bad speller.

Very helpful with an LLC in California. Insightful information as to California Codes and structural composition of the limited liability company.
While ongoing affairs are not covered, that is the beauty of the LLC. Resolutions, meetings of shareholders and managers are not required to maintain limited liability characteristics.
Solid, no nonsense advice on forming a California LLC.......2002-12-03
I found this book helpful and time-saving. In general, it provides an overview of the limited liability company format, making entity comparisons between LLCs, corporations, and partnerships. It also focuses on specific California issues, such as California (as well as federal) tax angles. The appendices furnish an array of useful forms, some not directly related to LLC formation, but important in the larger business context. Included are state of California Articles of Organization for LLC formation, a model operating agreement, sample minutes of the members' first organizational meeting, an application for reservation of name, a preorganization subscription agreement, a bill of sale agreement, and a medical and dental reimbursement plan. Finally, membership certificates are appended as well and will do the job, but since these are photocopies, most people will want to order fancy custom-printed membership certificates from one of the companies supplying them. Almost all of these items can be tracked down by the persistent but prove especially handy in this one-stop format. One exception is the detailed operating agreement provided, which is invaluable and worth the price of the book alone. I could not have created this essential document on my own without this model. The step-by-step instructions, with filled-in forms as examples, and the appended form archives considerably speeded up the process of formation of my California LLC, if not "before the ink dries!" as the title asserts.

This is an incomplete book that covers only the basics of "forming" a LLC. Not "maintaining"! I bought this book hoping to learn how to protect my business from lawsuits when litigants try to "pierce the corporate veil". Unfortunately there's NO talk about the formalities of maintaining the LLC. No talk about NOT commingling personal expenses with LLC expenses. No talk about setting up a separate LLC bank account. No talk about having a separate business phone line. No talk about having your web site registered in the name of the LLC. And where's the talk about sufficiently capitalizing the LLC relative to the level of business it generates? Failure to start the LLC with enough capital can make you personally liable to lawsuits. A dime a dozen are agents, lawyers and authors that try to make a buck off of you by getting you incorporated "before the ink dries". Just once I'd like to see someone who goes the whole nine yards by telling the WHOLE story about incorporating. The body of this book is 92 pages long followed by some forms...

Outstanding, explains the basics, then drill's down.......1998-11-05
Dean is a great writer, his background positions him well for this book. He is a family man doing what many need to do, start a small business and keep food on the table and insurance laying in wait. This is the perfect guide for starting you small business. The forms are there, the bylaws are there, explaining the stock even helped me understand some things about corporate law I didn't know about. Dean makes the law real and easy to understand. Thanks for wading through the mumbo-jumbo and getting the real nuggets, we will all flourish thanks to your work. Be advised Dean is not advising you legally, but identifying steps any one would need to take to start there small business. In some cases you still may need a lawyer, but this book can help you identify the key areas you need check. It allows you to talk about the issues with your CPA and Attorney, overall it's GREAT!!!

The book really doesn't live up to its title........1998-09-21
The book only gives general information about LLC's in all 50 states, and no specific information about LLC's in Illinois. Question in point: Does Illionis allow single-owner LLC's? You wont find the answer in this book! I was also disappointed when I read about choosing a business structure. By improperly describing the tax ramifications of an LLC, partnership, and sole-propriotorship, the book tries to steer most (not all) readers towards starting a corporation. Why? Maybe because the book conatains the 1-800 phone number of a business that can provide you with the necessary documents?? The book is not a total loss, however it does not live up to its title and contains tax information that is very biased, if not blatantly wrong.

I found this book to contain very good information about living the self-sufficient lifestyle. This book contains vast amounts of information about renewable energy and the various methods available. I will definetly use this information as a guide to building our self-sustaining home. I would recommend this book to anyone interested in learning about green living.

Here is the description of the house that the John Bower build to help his wife, who has MCS, recover. It discusses things they considered and what they actually used in THEIR OWN HOUSE. It also gives contact information so you can buy the products yourself. It is written by one of the experts in the area of healthy house building.
I have used the book numerous times to help investigate safe building materials and methods for my own house. I too have a wife with MCS.
